SydTees.com is an online boutique that sells men's and women's clothing, footwear, jewelry, and other accessories. We are open to working with social media influencers who align with our brand values and aesthetic. However, we require all influencers to sign up on our website and comply with the following Terms and Conditions that outline the agreement between SydTees.com ("SydTees") and the social media influencer ("Influencer") which are legally binding upon acceptance.

1- Ethical & Honest Behavior:
The Influencer shall not offer or receive any gifts, payments, or other inducements in relation to SydTees that may be seen as unethical or corrupt behavior. Any such behavior will result in the immediate termination of this agreement.

2- CONFIDENTIALITY:
All information regarding the agreement between SydTees and the Influencer shall be kept confidential and not shared with any third parties unless explicit written consent is obtained from SydTees.

3- COLLECTION OF INFLUENCER DATA:
SydTees may collect data from the Influencer, such as their IP address, for the purpose of determining their location. The Influencer shall also provide their country location and the location of most of their followers, if applicable. This information will be used for the sole purpose of determining if the influencer is capable of delivering to target customers and for compliance with the terms and conditions stated herein.

4- DELIVERABLES:
The Influencer shall share with SydTees relevant Instagram metrics for the Deliverables, including the number of impressions, overall reach, likes, comments, viewers, replies, link opens, and image saves. SydTees will use this data for the purpose of evaluating the effectiveness of the campaign and improving future marketing efforts.

5- INTELLECTUAL PROPERTY RIGHTS:
SydTees retains all intellectual property rights to its products and brand. The Influencer agrees not to publish any of the Deliverables before receiving explicit written consent from SydTees. The Influencer acknowledges that all materials provided to them are owned by SydTees and cannot be used for any other purposes, unlawfully, or in any way that may damage the name or reputation of SydTees. The Influencer acknowledges and agrees that they will not use any SydTees intellectual property without express written permission from SydTees.

6- OFFENSIVE OR INDECENT MATERIALS:
The Influencer agrees that no Deliverables will contain anything offensive or indecent. SydTees reserves the right to terminate the agreement immediately if any such material is published.

7- Indemnification:
The Influencer agrees to hold SydTees, its officers, directors, employees, agents, and affiliates harmless from any and all claims, damages, and expenses arising out of or in connection with the Influencer's breach of this Agreement or the Influencer's negligent or willful acts or omissions.

8- Non-Exclusive Relationship:
The relationship between SydTees and the Influencer is non-exclusive. Nothing in this Agreement shall prevent SydTees from entering into similar agreements with other individuals or entities, nor shall anything in this Agreement prevent the Influencer from promoting the products or services of other individuals or entities.

9-Termination: This Agreement shall commence on the date the Influencer accepts the terms and conditions and shall continue until terminated by either party. SydTees reserves the right to terminate this agreement at any time if the Influencer fails to comply with the terms and conditions outlined herein. In such an event, the Influencer shall immediately cease all use of SydTees’ name, logos, and other intellectual property, and return or destroy any confidential information obtained through the course of the relationship.

10-Survival:
The provisions of this Agreement which by their nature are intended to survive termination or expiration, including but not limited to Sections 3, 4, 5, 6, 7, 9, 11, and 12 shall survive any termination or expiration of this Agreement.

11- Governing Law and Jurisdiction:
This Agreement and any dispute or non-contractual obligation arising out of or in connection with it shall be governed and construed under the laws of the United States.

12- Entire Agreement:
This Agreement constitutes the entire understanding between SydTees and the Influencer and supersedes all prior negotiations, understandings, and agreements, whether oral or written. No modification or amendment of this Agreement shall be binding unless in writing and signed by both parties.
